One dedicated point of contact
No revolving advisors: one person guides you from the first call to the finished company, and knows your case.
Want to set up a GmbH (German limited liability company), but the notary, the commercial register (Handelsregister) and the trade office (Gewerbeamt) are draining your energy? I'll take the formalities off your plate: legal form, contract, bank account and registrations, all coordinated. You keep the decisions; I keep the order, the paperwork and the appointments under control.
Setting up a GmbH isn't rocket science, but the many steps and authorities make it hard to keep track of. This is exactly where a lot of founders lose time, nerves and sometimes money:
With FOUNDARA you get one person by your side who knows the process and guides you step by step through setting up your GmbH. Personal, clear, and in your language.
Together we check whether a GmbH really is the right choice, or whether a UG, a GmbH & Co. KG or another form fits you better. You get a clear recommendation, not a sales pitch.
I structure the documents for the notary appointment (standard protocol or custom articles of association, list of shareholders) and coordinate the appointment in Bremen. The legal drafting itself is handled by the notary or lawyer.
I help you pick a suitable business bank account and pay in the share capital (for a GmbH, at least €12,500 of the €25,000), so the notary can file your entry in the commercial register (Handelsregister).
Once you're entered in the commercial register (Handelsregister), we register your business (Gewerbeanmeldung) with the trade office (Gewerbeamt) in Bremen and keep the tax office (Finanzamt), the transparency register (Transparenzregister) and the IHK on the list too. Nothing slips through.
You've got your GmbH, your bank account and every registration done. If you like, I'll stay on board: tax to-dos with your tax advisor, funding, branding and your first steps in the market.
No revolving advisors: one person guides you from the first call to the finished company, and knows your case.
Starthaus, BAFA, AVGS: I know Bremen's funding pots and find the ones that fit your business.
7 years of practice, 5.0 ★ on Google. You're on the safe side from the start: structured and easy to follow.
The biggest items for a GmbH are the share capital (€25,000, of which at least €12,500 paid in) plus notary and commercial register costs. Entry in the commercial register (Handelsregister) usually costs €225 since 1 June 2025, and business registration (Gewerbeanmeldung) in Bremen currently €32. The exact notary fee depends on whether you form with a standard protocol or custom articles of association. Try my formation cost calculator; it estimates the cost for your specific case. And with the legal form finder you can check in four questions whether a GmbH really is your best choice.
Good news: the advisory work around your start-up is often eligible for funding in Bremen, for example through the start-up consulting programme run by Starthaus / the Bremer Aufbau-Bank (BAB), with a grant of up to 80% (max. €2,800 per applicant). To see which funding fits you, use my funding check; and if you're registered as a jobseeker, there's my AVGS start-up coaching. Note: funding applications usually have to be submitted before the advisory work begins.
A GmbH needs €25,000 in share capital. At formation, at least €12,500 has to be actually paid in; the rest can follow later. If that's too much for you, a UG (haftungsbeschränkt), startable from as little as €1, is an alternative you can later convert into a GmbH. We'll work out which form fits you in your free first call.
Besides the share capital, the main costs are the notary and the commercial register. Entry in the commercial register (Handelsregister) usually costs €225 since 1 June 2025, business registration (Gewerbeanmeldung) in Bremen currently €32, plus the notary's fee depending on your contract. My formation cost calculator gives you a concrete estimate for your case.
Once the documents are complete and the share capital is paid in, it usually takes anywhere from a few working days to a couple of weeks from the notary appointment to your entry in the commercial register (Handelsregister). This is exactly where clean preparation pays off: it's the fastest way to avoid delays.
Yes. A GmbH has to be notarised and entered in the commercial register (Handelsregister); that's required by law. I prepare all the documents so the notary appointment runs smoothly, and coordinate it with a notary in Bremen.
It depends on your capital, your image and your plans. A GmbH is often seen as especially reputable in business and can strengthen your creditworthiness, but it needs €25,000 in share capital. A UG (haftungsbeschränkt) starts cheaper, but has to set aside profits until it reaches €25,000. The legal form finder gives you a first sense of direction, and in your free first call we look at your specific case.
The advisory work around your start-up is often eligible for funding in Bremen, for example through Starthaus / the BAB, or through BAFA. You can see how much in my funding overview. Important: applications usually have to be submitted before the advisory work begins. I'll show you the right route.
